Terms of Service
Last updated: 2 September 2026
These terms govern your use of VerityIQ, provided by ARCsoft Kabushiki Kaisha (株式会社 ARCsoft) (“we”, “us”, “our”), a company incorporated in Japan and based in Tokyo. They apply whether you use VerityIQ through the Shopify app, through a hosted report, or both. If you do not agree to them, do not install the app, do not sign in to a report, and uninstall anything already installed.

1. Agreement and acceptance
These terms form a binding agreement between you and ARCsoft Kabushiki Kaisha. You accept them by doing any of the following: installing the VerityIQ app on your Shopify store, signing in to a VerityIQ report, or otherwise using the Service.
If you accept on behalf of a company or other organisation, you confirm that you have authority to bind it, and “you” means that organisation. VerityIQ is a business tool offered to businesses; it is not offered to consumers and is not intended for personal use.
Our Privacy Policy forms part of these terms. Where a separate written agreement signed by us covers the same subject matter, that agreement prevails over these terms to the extent of any conflict.
2. Definitions
- Service: the VerityIQ Shopify app, the hosted reports at reports.verityiq.io, the VerityIQ website, and any related software, documentation and support we provide.
- Merchant Data: the data we read from your Shopify store and from the advertising accounts you connect, together with the inputs you give us (such as margins, targets and attribution settings).
- Output: the reports, ranges, scorecards, charts, verdicts and other results the Service produces from Merchant Data.
- Platform: a third-party service the Service reads from or runs on, including Shopify, Google Ads and Meta.
3. What VerityIQ is
VerityIQ reads your Shopify order data and compares it against the revenue your advertising platforms claim to have driven. It produces a weekly report expressing what the data supports as a range with stated uncertainty.
The Output is an analytical opinion, not a statement of fact and not financial, accounting, tax, investment or legal advice. It is one input to your decisions, and you remain solely responsible for those decisions and their outcomes.
4. What VerityIQ is not
- It does not attribute revenue to individual ads, campaigns or channels with certainty. It deliberately declines to produce a single confident number where the data does not support one.
- It does not change anything in your store. Access is read-only.
- It is not an audit, an assurance engagement, or a substitute for your own accounting records. Nothing in the Output should be used as a book of record.
- It does not guarantee any commercial result. Nothing in the report is a promise about future performance.
5. Eligibility and your account
- You must be at least 18, acting in a business capacity, and legally able to enter this agreement.
- Keep your report sign-in credentials confidential. Anyone holding them can read your report. You are responsible for activity under your credentials, and you must tell us promptly if you believe they have been exposed.
- Provide accurate inputs. Margins, targets and attribution settings you give us are used exactly as stated. If they are wrong, the Output will be wrong, and that is not a defect in the Service.
- Do not attempt to access reports or data belonging to anyone else.
6. Access to your data
On install you grant read-only access via Shopify’s standard OAuth flow. We read order totals, dates, line item titles, discounts and store analytics. Customer identifiers are replaced with a one-way pseudonym before anything is written to storage. We retain the ability to distinguish repeat buyers, not to identify them.
Connecting an advertising platform (such as Google Ads or Meta) requires you to grant read access to that account. You warrant that you are authorised to grant that access: that the account is yours or that its owner has permitted you to connect it. If that is not true, section 19 applies.
Our handling of personal data is set out in the Privacy Policy.
7. Your data and our rights
Merchant Data is yours. We claim no ownership of it. You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, process, transmit, analyse and display Merchant Data solely to provide, secure and support the Service for you. That licence ends when the data is deleted.
Aggregated, de-identified data. We may create aggregated and de-identified data from Merchant Data and use it to operate, evaluate and improve the Service and to produce statistical benchmarks. That right is subject to all of the following, without exception:
- it will not identify you, your store or your customers, and will not be reasonably capable of doing so;
- we will not disclose merchant-level figures to anyone;
- we will not publish any statistic derived from a single store, or from so few stores that yours could be inferred from it;
- we will not attempt, or permit anyone else to attempt, to re-identify it.
We do not sell Merchant Data, and we do not share it with advertisers or data brokers. Aggregated, de-identified data may survive termination in that form only.
8. Acceptable use
You must not, and must not permit anyone else to:
- reverse engineer, decompile or disassemble the Service, or attempt to derive its source code, statistical models, priors or methodology;
- scrape, crawl or bulk-extract the Service or the Output, other than by retrieving your own reports through the interfaces we provide;
- resell, sublicense, rent or make the Service or the Output available to a third party as a service. You may of course share your own report internally and with your own advisers and agencies;
- use the Service or the Output to build, train or evaluate a competing product, model or dataset;
- circumvent access controls or rate limits, probe the Service for vulnerabilities without our written permission, or access another merchant’s report or data;
- introduce malicious code, or interfere with the integrity or performance of the Service;
- misrepresent the Output. For example, presenting a range as a certainty, or attributing a claim or verdict to VerityIQ in a form we did not publish;
- use the Service unlawfully, or in breach of any Platform’s terms;
- publish benchmarking or performance-testing results about the Service without our written consent.
9. Intellectual property
We own the Service and everything in it. The software, statistical models, priors and methodology, the report design and templates, the documentation, and the VerityIQ name and logo. Together with all intellectual property rights in them. Nothing in these terms transfers any of those rights to you.
Subject to these terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service, and to use the Output internally for your own business purposes. No rights are granted other than those expressly stated; there are no implied licences.
Feedback. If you send us suggestions, ideas or feedback about the Service, we may use them without restriction, obligation or compensation. We will not identify you as the source without your consent.
10. Third-party platforms
Shopify, Google Ads, Meta and any other Platform are independent third parties. Your use of them is governed by their own terms, and you are responsible for complying with those terms and for maintaining your own access.
Platform APIs change, impose rate limits, deprecate endpoints, suffer outages and revoke access, and the data they return may be delayed, incomplete or restated later. We do not control any of that. We are not responsible or liable for a Platform’s acts or omissions, or for any interruption, degradation or loss of Output caused by one. If a Platform withdraws or restricts access, we may suspend or discontinue the affected part of the Service without liability.
Where Shopify’s own requirements apply to the VerityIQ app, those requirements prevail over anything inconsistent in these terms.
11. Confidentiality
Each party may receive information the other treats as confidential. Your figures, margins and targets are your confidential information. Our methodology, model internals, priors, non-public documentation and pricing are ours.
Each party will protect the other’s confidential information with at least reasonable care, use it only for the purposes of this agreement, and disclose it only to people who need it and who are bound by equivalent obligations. This does not apply to information that is public through no breach of this section, was already lawfully known, is independently developed without reference to the other’s information, or is lawfully received from a third party.
A party may disclose confidential information where required by law or a valid legal request, giving the other reasonable prior notice where it is lawfully able to. These obligations continue for three years after termination, and for as long as the information remains a trade secret.
12. Data accuracy and limits
The Output depends on data supplied by Shopify and your advertising platforms. We do not control that data and do not warrant that it is accurate, complete or continuously available.
Where history is too short or too collinear to support a conclusion, VerityIQ says so rather than estimating: this is intended behaviour, not a fault, and a report that declines to answer has performed correctly.
The Output reflects the data available at the time it was generated. Platforms restate historical figures, so a later report may differ from an earlier one covering the same period. That is expected and is not a defect. You should not rely on the Output as the sole basis for a material financial decision.
13. Pre-release status
The Service is currently offered as a pre-release, early-access product. Features may change, be withdrawn or contain defects; performance and data retention are not guaranteed; and we may reset or migrate pre-release features, giving notice where practicable. It is provided for evaluation and use at your own risk, and is not offered as production-grade software.
14. Availability and changes to the Service
The Service is provided on an “as is” and “as available” basis. We do not commit to any service level or uptime, and we may modify, suspend or discontinue any part of it. For changes that materially and adversely affect your use, we will give reasonable notice where practicable.
Reports are produced on a weekly cadence. The Service is not a real-time or daily-refresh product, and we do not commit to delivery on a particular day.
15. Fees
The VerityIQ Shopify app is currently provided at no charge. If we introduce charges, any fee payable in connection with the Shopify app will be billed through Shopify’s billing system and you will be asked to approve it before it applies. We will not begin charging for the app without your explicit approval.
If we introduce charges for hosted report access outside Shopify billing, we will notify you in advance and you may stop using the Service instead of paying. Fees are exclusive of consumption tax, VAT and any other applicable taxes, which you are responsible for.
16. Term and termination
This agreement starts when you first accept it and continues until terminated.
You may end it at any time by uninstalling the app from your Shopify admin and, if you use a hosted report, telling us to close your access. On uninstall your access token is destroyed immediately and Shopify notifies us to erase your store’s data, which we do as described in the Privacy Policy.
We may suspend or end access immediately where use breaches these terms (particularly section 8), where required by law or by a Platform, or where continued access presents a security or integrity risk to the Service or to other merchants. Otherwise we will give reasonable notice.
On termination your right to use the Service and the Output ends, and the licence in section 7 ends except for aggregated, de-identified data. Sections 2, 4, 7 (aggregated data only), 8, 9, 11, 12, 17, 18, 19, 21, 24, 25 and 26 survive termination.
17. Disclaimer of warranties
To the fullest extent permitted by law, the Service and the Output are provided “as is” and “as available”, and we disclaim all warranties, express, implied or statutory: including any warranty of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, or uninterrupted or error-free operation.
In particular, we do not warrant that the Output will be accurate, that a stated range will contain the true value, that the Service will meet your requirements, or that defects will be corrected. No advice or information you receive from us creates any warranty not expressly set out in these terms.
Some jurisdictions do not allow the exclusion of certain implied warranties, so parts of this section may not apply to you.
18. Limitation of liability
Excluded losses. To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, special, exemplary or punitive loss, nor for lost profits, lost revenue, lost savings, lost goodwill, lost data or lost business opportunity, nor for the cost of substitute services. Arising from your use of the Service or from decisions made in reliance on the Output, on any theory of liability, and even if we were advised such loss was possible.
Cap. Our total aggregate liability arising out of or relating to these terms or the Service will not exceed the greater of (a) the fees you paid us for the Service in the twelve months before the event giving rise to the claim, and (b) JPY 50,000. This cap applies in aggregate across all claims, not to each claim separately.
What is not capped. Nothing in these terms excludes or limits liability for fraud or fraudulent misrepresentation, for wilful misconduct or gross negligence, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be excluded or limited.
These limits reflect the price of the Service (currently nil) and are an essential basis of the agreement between us. To the extent permitted by law, any claim must be brought within one year of the event giving rise to it.
19. Indemnity
You will defend, indemnify and hold harmless ARCsoft Kabushiki Kaisha and its officers, employees and contractors against third-party claims, damages, losses, liabilities and reasonable legal costs arising from:
- your breach of these terms, and in particular of section 8;
- your connection of a Platform account you were not authorised to connect;
- Merchant Data that infringes a third party’s rights or breaches applicable law, including data protection law;
- your use of, or reliance on, the Output. Including any decision you take or any statement you make to a third party based on it.
We will notify you promptly of any such claim, give you reasonable cooperation at your expense, and let you control the defence. You may not settle a claim in a way that imposes an obligation or admission on us without our written consent.
20. Publicity
We may identify you as a user of VerityIQ by business name and logo on our website and in our materials, following your trademark guidelines where you give us them. You can opt out at any time by emailing hello@verityiq.io, and we will remove it within a reasonable period.
We will not publish your figures, a case study, or a quote attributed to you without your written consent, and we will make no other use of your marks.
21. Compliance, sanctions and export control
You represent that you are not located in, resident in, or organised under the laws of a country or territory subject to comprehensive trade sanctions, and that you are not on any restricted-party list maintained by Japan, the United States, the European Union or the United Kingdom. You will not make the Service available to any such person.
Each party will comply with applicable anti-bribery, anti-corruption, sanctions and export-control laws. We may suspend the Service immediately if this section is breached.
22. Force majeure
Neither party is liable for any failure or delay in performance (other than a payment obligation) caused by events beyond its reasonable control. Including natural disaster, earthquake, war, terrorism, civil unrest, epidemic, labour dispute, power or telecommunications failure, internet or hosting-provider outage, government action, or a Platform’s failure or withdrawal of access.
23. Changes to these terms
We may update these terms. For material changes we will give notice by email or in the product at least 14 days before they take effect, where practicable, and continued use after the effective date means you accept them. If you do not accept them, stop using the Service and uninstall the app.
Non-material changes. Clarifications, contact details, or changes required by law or by a Platform. May take effect when posted. The “last updated” date above shows the current version.
24. General
- Assignment. You may not assign or transfer this agreement without our written consent. We may assign it to an affiliate, or in connection with a merger, acquisition or sale of assets, on notice to you.
- Independent parties. Nothing here creates a partnership, agency, joint venture or employment relationship.
- No third-party beneficiaries, except our officers, employees and contractors under section 19, and Shopify where its own terms require it.
- Severability. If a provision is held unenforceable, it is modified to the minimum extent needed to make it enforceable, and the rest remains in force.
- No waiver. Not enforcing a provision is not a waiver of it. A waiver is effective only in writing.
- Entire agreement. These terms and the Privacy Policy are the entire agreement between us on their subject matter and supersede prior discussions. Neither party relies on any statement not set out in them, except in the case of fraud.
- Notices. We may give notice to the email address associated with your Shopify store or report account; it is deemed received 24 hours after sending. Notices to us go to hello@verityiq.io. You consent to receiving communications electronically.
- Language. The governing language of this agreement is English. Any translation is for convenience only, and the English text prevails in the event of conflict.
- Headings are for convenience and do not affect interpretation.
25. Governing law and jurisdiction
These terms are governed by the laws of Japan, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The Tokyo District Court has exclusive jurisdiction as the court of first instance. Without prejudice to any mandatory rights or protections available to you locally that cannot be varied by contract.
Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
